1. Agreement to Terms
By accessing or using the ScopeShift platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.
ScopeShift is operated by ScopeShift Ltd, a company registered in England and Wales. References to "we", "us", or "our" refer to ScopeShift Ltd.
2. Description of Service
ScopeShift provides a cloud-based variation order (VO) management platform for the construction industry. The Service includes project management tools, document storage, collaboration features, reporting, and related functionality as described on our website.
3. Account Registration
To use the Service, you must create an account and provide accurate, complete information. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account.
You must notify us immediately if you become aware of any unauthorised use of your account.
4. Subscription and Payment
The Service is offered on a subscription basis. Pricing and plan details are available on our pricing page. By subscribing, you agree to pay the applicable fees for your chosen plan.
- Subscriptions renew automatically unless cancelled before the renewal date.
- We may change our pricing with 30 days' notice. Existing subscriptions will honour the current price until the end of the billing period.
- Refunds are handled on a case-by-case basis. Contact support for assistance.
5. Free Trial
We may offer a free trial period. At the end of the trial, your account will be converted to a paid subscription unless you cancel. We will notify you before any charges are applied.
6. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable laws.
- Attempt to gain unauthorised access to the Service or its related systems.
- Upload malicious code, viruses, or any harmful content.
- Interfere with or disrupt the integrity or performance of the Service.
- Use the Service to store or transmit content that infringes third-party rights.
7. Data Ownership and Intellectual Property
You retain all rights to the data you upload to the Service. We do not claim ownership of your content. You grant us a limited licence to host, store, and display your data solely for the purpose of providing the Service.
The Service, including its design, code, and branding, is the intellectual property of ScopeShift Ltd and is protected by applicable copyright and trademark laws.
8. Data Protection
We process personal data in accordance with our Privacy Policy and applicable data protection laws, including the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.
9. Service Availability
We strive to maintain high availability of the Service but do not guarantee uninterrupted access. We may perform scheduled maintenance with reasonable notice. We shall not be liable for any downtime or service interruptions beyond our reasonable control.
10. Limitation of Liability
To the maximum extent permitted by law, ScopeShift Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or business opportunities arising from your use of the Service.
Our total liability for any claim arising from or related to the Service shall not exceed the amount you paid for the Service in the 12 months preceding the claim.
11. Termination
You may cancel your subscription at any time through your account settings. We may suspend or terminate your access to the Service if you breach these Terms, with notice where practicable.
Upon termination, you may request export of your data within 30 days. After this period, we may delete your data in accordance with our data retention policies.
12. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes via email or through the Service. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
13. Governing Law
These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
